1. Acceptance of these terms
These Terms of Service (the “Terms”) govern your access to and use of the Socivia website, web application, and mobile apps (together, the “Service”), operated by [LEGAL ENTITY NAME](“Socivia,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By using it, you represent that you are 18 or older and that you are able to form a binding contract with us.
3. Your account
You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that happens under your account. Notify us promptly if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. Expense tracking is informational only
Socivia helps groups record and split shared trip costs. The expenses, balances, and “who owes whom” amounts shown in the Service are informal records you and your trip members create for your own convenience. They are not invoices, bills, or legally binding obligations, and we do not verify their accuracy.
Socivia is not a bank, money services business, payment processor, or money transmitter. We do not hold, transfer, or facilitate the movement of any money between you and other users. Any actual payment or settlement happens directly between you and the other people involved, through whatever method you choose and entirely outside the Service. Socivia is not a party to, and is not responsible for, those payments or any dispute about money owed.
5. Your content and the license you grant us
You retain ownership of the content you create or upload, such as trips, photos, comments, and expense details (“Your Content”). To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to resize images), display, and distribute Your Content, solely to provide and improve the Service, including sharing it with the trip members and recipients you choose. This license ends when you delete Your Content or your account, except for content others have already saved or copies retained in routine backups.
You are responsible for Your Content and represent that you have the rights to share it and that it does not violate these Terms or any law.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Post content that is illegal, infringing, defamatory, harassing, hateful, or that invades others' privacy.
- Impersonate any person or misrepresent your affiliation.
- Attempt to access accounts, data, or systems you are not authorized to access, or interfere with or disrupt the Service.
- Scrape, harvest, or use automated means to access the Service except as we expressly permit.
- Introduce malware or otherwise compromise the security or integrity of the Service.
7. Third-party services and bookings
The Service may display information from, or link to, third parties such as maps, flight and travel data, images, and booking providers. We do not control and are not responsible for third-party services, content, or transactions. Any booking, purchase, or dealing you make with a third party is solely between you and that third party and governed by their terms.
8. Our intellectual property
The Service and all of its content, features, and functionality (excluding Your Content) are owned by Socivia and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, or create derivative works of the Service except as permitted by these Terms.
9. Feedback
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
10. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content (including expense calculations or travel information) is accurate or complete.
11. Limitation of liability
To the fullest extent permitted by law, Socivia and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or amounts owed between users. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or [USD AMOUNT, e.g. $100].
12. Indemnification
You agree to indemnify and hold Socivia harmless from any claims, damages, liabilities, and expenses arising out of your use of the Service, Your Content, or your violation of these Terms or any law or third-party right.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.
14. Governing law and dispute resolution
